Terms of Service

These Terms of Service set out how Counterpoint Creative Solutions Ltd provides creative and brand content services, and what you can expect from us. They are written to be read. If anything is unclear, ask before you engage us, and we will explain it in writing.
1. Scope of services
We provide creative project planning and brand content support: brand positioning, content creation, campaign planning, creative direction, and digital and social content. The specific work for your project is set out in a written proposal or scope document. That document, together with these Terms, forms the agreement between us.
Anything not listed in the agreed scope is out of scope. Additional work can be added at any time, but it will be confirmed in writing with its cost before it is carried out. We do not bill for work you have not approved.
2. Quotations and payment
Defined pieces of work carry published fixed entry prices, shown on our Services page. Wider project work is quoted individually from your brief, with a written breakdown of what the price covers.
- Quotations are valid for 30 days from the date they are issued.
- Projects above the value of a single defined piece are normally split into stages, with an initial payment before work begins and the balance on completion. The split is stated in the proposal.
- Invoices are payable within 14 days of the invoice date unless the proposal says otherwise.
- Prices are quoted in pounds sterling. Where VAT applies it is shown separately on the invoice.
- We do not charge for questions, clarifications or conversations during a project.
3. Intellectual property and ownership
On receipt of final payment, ownership of the final agreed deliverables transfers to you. This includes the designs, written copy and other materials produced specifically for your project under the agreed scope.
Until final payment is received, all materials remain the property of Counterpoint Creative Solutions Ltd. We retain ownership of our underlying methods, templates and working processes, and of any third-party assets such as licensed fonts or stock imagery, which remain subject to their own licence terms.
Unless you ask us in writing not to, we may describe the general type of work we carry out — for example "brand guidelines for a small consultancy" — without naming you, publishing your materials or disclosing commercially sensitive information.
4. Revisions and delivery
Two structured revision rounds are included in every agreed scope. Feedback should be supplied as one consolidated written round, because a running conversation makes timelines and decisions unclear. Additional revision rounds beyond the two included are confirmed and priced in writing before that work begins.
Delivery dates are agreed in the proposal and depend on two things on your side: a single named person able to approve work, and feedback returned within the agreed review window. If a delay on either side affects the schedule, we will tell you as soon as we know rather than at the deadline. Where a project is paused at your request for more than 30 days, we may invoice for work completed to that point.
5. Confidentiality
Each of us will keep the other's confidential information private. That includes your business plans, pricing, customer information and unreleased materials, and our proposals, methods and pricing structure.
We will not disclose your confidential information to anyone outside our studio except where we must by law, or where a service provider needs it to carry out work for you — for example a printer producing physical materials. Any such provider is bound to keep the information confidential and to use it only for that purpose. These obligations continue after the project ends.
6. Governing law and jurisdiction
These Terms, and any dispute or claim arising out of or in connection with them, are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction over any such dispute.
Before starting formal proceedings, both parties agree to attempt to resolve any disagreement through direct discussion in good faith, and to allow 30 days from written notice of the dispute for that discussion to take place.
7. Cancellation and refunds
You may cancel a project at any time in writing. Where you cancel, you are responsible for the value of work already carried out up to the date of cancellation, and any third-party costs already committed — for example licences or printing ordered on your instruction. Any remaining balance of a stage payment is refunded within 14 days.
Because our work is produced specifically for you, completed deliverables are not refundable once they have been approved and handed over. If something we have delivered does not match the agreed scope, tell us and we will correct it at no cost.
